Offer Disclaimer

This Disclaimer applies to all offers created, submitted, or transmitted through the Sohomey platform at sohomey.com (the “Site”), operated by Sohomey Inc, a California corporation (“Sohomey,” “we,” “us,” or “our”). This Disclaimer is part of, and incorporated into, our Website Terms of Use.

Payment of any subscription fee, and use of any paid feature, does not guarantee that a property owner (or the owner’s representative) will receive, view, respond to, or accept any offer submitted through the platform.

Subscription fees purchase access to Sohomey’s software tools — including the ability to prepare and submit structured offers on listed and off-market properties. They do not purchase, and Sohomey does not sell:

• delivery of any offer to any particular recipient;
• a response of any kind from any property owner or representative;
• acceptance of any offer;
• entry into negotiations; or
• the completion or closing of any real estate transaction.

Property owners and their representatives are independent third parties. Whether they engage with, respond to, or accept an offer is entirely within their discretion and outside Sohomey’s control. Many offers — particularly offers on off-market properties — may receive no response at all. No refund, credit, or fee adjustment will be provided on the basis that an offer went unanswered, was declined, or did not result in a transaction.

Sohomey provides the Site solely as a technology and communications platform. Sohomey is not a real estate broker, real estate agent, lender, title company, escrow company, or other licensed real estate professional, and is not a party to, and does not participate in or control, any transaction, negotiation, or communication between users and third parties. Nothing on the platform constitutes real estate, legal, financial, or tax advice.

Sohomey is compensated in two ways, both payable by licensed real estate agents:

• Subscription fees paid by agents for platform access. These are fixed monthly amounts and are not contingent on any transaction.
• Referral fees paid by agents who accept a seller-side assignment from Sohomey and subsequently close a transaction with that property owner. These are governed by our Seller-Side Agent Referral Terms.

Sohomey does not receive compensation from any buyer or property owner, does not charge a commission on any transaction, is not a party to any purchase agreement, and is not a party to escrow. No Sohomey fee is deducted from any seller’s proceeds or any buyer’s funds.

An offer prepared on the platform may be delivered to a property owner by a licensed real estate agent acting as a Sohomey closer. A closer is an independent licensed professional. A closer is not an employee of Sohomey and does not represent Sohomey in any transaction.

Where a property owner chooses to engage a closer as their own seller-side representative, that engagement is a separate agreement between the owner and that agent. The agent owes their duties to the owner, not to Sohomey. Closers are required to disclose to the property owner that the offer was assigned to them through Sohomey and that they pay Sohomey a referral fee if a transaction closes.

A property owner is never required to engage the closer, or any agent, in order to consider, respond to, accept, or decline an offer. A property owner is free to engage any representative of their choosing, or none.

Sohomey does not verify, and makes no representations regarding: the accuracy of property information appearing on or submitted through the Site; the ownership status, availability, or marketability of any property; or the identity, authority, licensing, or intentions of any property owner, agent, or other party. You are solely responsible for your own due diligence before making, modifying, or acting on any offer.

An offer prepared and delivered through the platform communicates proposed terms. It is not a purchase agreement and does not create a binding obligation on any party. Any binding agreement requires a separate written contract executed by the parties in accordance with applicable law.

By subscribing to any paid plan or submitting any offer through the Site, you acknowledge that you have read and understood this Disclaimer, and that you are paying for platform access — not for any particular result.
